description Nowadays organization success and pioneering in its industry has direct relation with knowledge generation and its production speed. In addition, organizations which increase strong learning culture are effective in Knowledge Management (KM) especially introducing modern knowledge. On the other hand, ethics is important issue that leads to social welfare and industrial improvement. If this subject extends to other fields, it can be possible to express their relation with ethic philosophy which knowledge management is one of them. So, the point is connection between ethics and KM. KM resources are easily available whereas subject resources due to systematic vision and considering all ethic aspects in KM processes are rare.In this paper, the effect of ethics on knowledge conversion process based on Nonaka and Takeuchi model has been studied. To evaluate this, the conceptual model base on subject literature was designed and research hypotheses base onconceptual model were proposed. Then to examine the hypotheseshas been used from data of the ninety-four questionnaires that they were relevant to research population and also method of Structure Equation Modeling (SEM). The results showed there is a positive and meaningful relation between ethics and knowledge conversion process. Also, among the knowledge conversion process dimensions, socialization, externalization and combination have direct and meaningful connection with ethics while internalization doesn’t.
