Summary:The Romanian companies are nowadays facing process of extinction of decisions based on risk and uncertainty, as a consequence of the permanent transforming process of the economy and because of the privatization, restructuring and globalization activities. The main forms of risk are can be grouped in eight categories: economical risks, financial risks, commercial risks, manufacturing risks, political risks, social risks, juridical risks, natural risks. Through its nature the decision is referring to the future, mainly being provisional. In any decisional process developed at the company level, there are involved in the same time some economical, techniques, juridical, human and managerial variables. As a consequence of the decision (generally) and of managerial decision (particularly), because of its complexity and its contextual deter in its growth there are associated many risks. The main objective of this paper is to capture the factors that influence the decisional process, in the context of the implementation of corporate governance in view of the company’s resources, production methods and its operational environment and the identification of decision making support systems. I consider that the study contributes to the development of knowledge in the risk management field associated with decision making processes in the context of efficient corporate governance, based on a series of new elements and authenticity.
