The corporate entity has been the most effective means of doing business since its creation. It brings together capital and expertise, but as a result the company becomes a pool of resources with numerous stakeholders. Company law has to contend with issues affecting the interests of various groups, in a process that is largely political. The issue of minority shareholder protection in Singapore arises because ours is a highly productive and capital-rich society, with massive bundles of investment fund at stake. To ensure the security and profitability of investment activities in Singapore, we require that every step be taken to look after the interests of shareholders and bondholders alike. Since the society has accepted majority rule as the benchmark of company administration, we are then concerned as to whether minority shareholders will be disadvantaged, and if so, how they might be better protected.
