Our research attempts to address an area of growing interest and importance in computer law - the causes of failures in computer contracts, particularly in United Kingdom (UK). As computer contracts gain importance, it is quintessential that the business community gains an adequate understanding of why past contracts fail. It is our belief that once the causes of failures in computer contracts are highlighted, it will go a long way towards preventing the recurrence of such failures. The research is undertaken through a study of legal cases relating to computer contracts in the UK. Elements of failures in the contracts are sieved from the facts and judgement subsisting in the legal cases. We have found disputes prevalent in computer personnel, hardware and software contracts. The main kinds of disputes tend to centre around issues on breach of confidentiality, ownership, disagreement over contractual terms and failure of systems. The recurrences of these disputes are evidence that computer contract failures in the UK are rampant. Based on the knowledge gained from our research findings, we then prescribe recommendations for the formation of a successful computer contract.
