Be�dasarkan pengamatan atas aspek perilaku dan politik sistem kompensasi dan pemilikan saham, penulis rneneliti dampak kedua variabel itu terhadap strategi (mediating variable) dan pre stasi (dependent variable) dengan nzemakai pendekatan model struktural. Hasilnya nzenunjukkatz bahwa pemilikan saham oleh manajer memiliki dampak positifyattg signifikattatas prestasi perusahaan. Sebaliknya sistem kompensasi eksekutif yang diadopsi justru gagal sebagai variabel pendorong prestasi jangka panjang. Data penelitian ini diambil dari kasus merger dan akusisi di Amerika Serikat antara tahutt 1986 sampai dengan tahutt 1990. Keterbatasan dan model altematif juga dibahas.
